1. Agreement to Terms

Welcome to EuroCover Insurance. These Terms and Conditions ("Terms") govern your access to and use of the EuroCover Insurance website, located at www.eurocover-insurance.com (the "Site"), and all content, services, and products available through the Site (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions, you should not access or use our Services.

These Terms constitute a legally binding agreement between you and EuroCover Insurance ("we," "us," or "our"). You represent and warrant that you have the authority to enter into these Terms personally or on behalf of the entity you represent.

2. Definitions

In these Terms, the following definitions apply:

• "Account" means the account created by a User to access and use the Services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on or through the Services.
• "Order" means a request to purchase Products through the Services.
• "Products" means the fruits, vegetables, and other items offered for sale through the Services.
• "Subscription" means a recurring Order for Products at specified intervals.
• "User" means an individual who accesses or uses the Services.
• "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Services.

3. Account Registration and Use

3.1 Account Creation

To use certain features of our Services, you may need to register for an Account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account.

3.2 Age Requirement

You must be at least 18 years old to create an Account and use our Services. By creating an Account, you represent and warrant that you are at least 18 years old.

3.3 One Account Per User

You may not create more than one Account without our express permission. We reserve the right to terminate any duplicate Accounts.

3.4 Account Termination

We reserve the right to suspend or terminate your Account at any time for any reason, including but not limited to violation of these Terms. You may also terminate your Account at any time by contacting our customer service.

4. Intellectual Property Rights

4.1 Ownership

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of EuroCover Insurance and its licensors. The Services are protected by copyright, trademark, and other laws of both Denmark and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

4.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on the Site
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

4.3 License Termination

This license will terminate if you violate any of these restrictions, and we may terminate it at any time. Upon termination of your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

5. User Content

5.1 Responsibility for Content

You are solely responsible for any User Content you post, upload, publish, submit, or transmit through our Services. By providing User Content, you represent and warrant that:

• You own or have the necessary rights to use and authorize us to use your User Content
• Your User Content does not violate the privacy rights, publicity rights, copyrights, contractual rights, intellectual property rights, or any other rights of any person or entity
• Your User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Your User Content does not violate any applicable law or regulation

5.2 License to User Content

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media formats and through any media channels.

5.3 Content Monitoring

We have the right, but not the obligation, to monitor, edit, or remove any User Content provided on the Services. We also reserve the right to take any action with respect to User Content that we deem necessary or appropriate in our sole discretion.

5.4 Feedback

Any feedback, comments, or suggestions you provide regarding the Services is entirely voluntary, and we will be free to use such feedback, comments, or suggestions without any obligation to you.

6. Prohibited Uses

You agree not to use the Services in any way that:

• Violates any applicable law or regulation
• Infringes the rights of any third party
• Attempts to interfere with the proper functioning of the Services
• Engages in any data mining, robots, scraping, or similar data gathering activities
• Attempts to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
• Uses the Services to transmit any malicious code, such as viruses or Trojan horses
• Impersonates or attempts to impersonate us, our employees, another user, or any other person or entity
• Engages in any harassing, intimidating, predatory, or stalking conduct
• Uses the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services
• Uses any automated means, including, without limitation, agents, robots, scripts, or spiders, to access, monitor, or copy any part of the Services

The Services may contain links to third-party websites or services that are not owned or controlled by EuroCover Insurance. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

7.2 No Endorsement

The inclusion of links to third-party websites does not imply our endorsement or approval of these websites or any information contained on them. Your use of such websites is at your own risk and subject to the terms and conditions of use for such websites.

7.3 Third-Party Content

The Services may display content from third parties, including user-generated content and advertisements. Such content is the sole responsibility of the person or entity that makes it available. We do not endorse or assume any responsibility for any such third-party content.

8. Disclaimers

8.1 Services Provided "As Is"

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. Neither EuroCover Insurance nor any person associated with EuroCover Insurance makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Services.

8.2 No Warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.3 No Professional Advice

The information provided on the Services is for general informational purposes only. It is not intended to be, and should not be construed as, legal, financial, medical, or other professional advice. Always consult with a qualified professional before making any decisions based on information obtained from the Services.

8.4 Security Risks

You acknowledge that your use of the Services involves certain risks, including but not limited to the risk of interception or abuse by third parties. You understand that any information you send or receive via the Services may not be secure and may be susceptible to interception, theft, or loss.

9. Limitation of Liability

9.1 Exclusion of Damages

To the maximum extent permitted by law, in no event shall EuroCover Insurance, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

9.2 Limitation of Liability

To the maximum extent permitted by law, our total liability to you for all claims arising from or relating to these Terms or your use of the Services, regardless of the form of action, whether in contract, tort, or otherwise, is limited to the amount paid by you, if any, for access to the Services during the 12 months immediately preceding the event giving rise to the claim.

9.3 Applicability

The limitations on our liability to you in this Section will apply whether or not we have been advised of or should have been aware of the possibility of any such losses arising.

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless EuroCover Insurance, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Services
• Your violation of any rights of a third party
• Your violation of any applicable laws, rules, or regulations

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

11. Term and Termination

11.1 Term

These Terms will remain in full force and effect while you use the Services.

11.2 Termination by You

You may terminate these Terms at any time by discontinuing use of the Services and closing your Account, if applicable.

11.3 Termination by Us

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

11.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. If your Account is terminated for any reason, you will no longer have access to your Account or any Content you have submitted through the Services.

11.5 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Modifications to Terms

12.1 Right to Modify

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12.2 Continued Use

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Danish Institute of Arbitration. The arbitration shall be conducted in Copenhagen, Denmark, in the English language.

13.3 Small Claims

Notwithstanding the foregoing, either party may bring an individual action in small claims court in Copenhagen, Denmark.

13.4 Injunctive Relief

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13.5 Class Action Waiver

You agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and that you will not seek to have any dispute heard as a class action, collective action, private attorney general action, or any other proceeding in which either party acts or proposes to act in a representative capacity.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and us concerning the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and us with respect to the Services.

14.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without our consent shall be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

14.5 Notice

We may provide any notice to you under these Terms by posting a notice on the Services or sending a message to the email address associated with your Account. Notices we provide by posting on the Services will be effective upon posting, and notices we provide by email will be effective when we send the email. It is your responsibility to keep your email address current.

14.6 No Agency

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.
